Florida LLCs: Are you ready for 2015?

Effective Jan. 1, 2015, the Florida Revised Limited Liability Company Act governs all LLCs in the state.

  • Required operating agreement provisions that cannot be waived (existing provisions contrary to these are now considered unenforceable) - such as the LLC's capacity to sue or be sued.
  • Rules that take effect if an existing operating agreement does not specifically address a matter - such as consent required to amend the operating agreement.
  • Other challenges - such as domesticating foreign entities as Florida LLCs.
