Gunster Shareholders Gregory Bader and Thomas Hickey will present at the 34th Annual Florida Bank Directors Forum hosted by the Florida Bankers Association at the Ritz Carlton Beach Resort in Naples, Florida. The two day forum will leave attendees better equipped to contribute to the financial security, marketing efforts and solvency of their institution.

Gunster attorney Greg BaderGunster attorney Tom HickeyBader and Hickey will be presenting at the opening session on Thursday, October 3 from 8:30-10:30am on "2019 Banking Developments.” The session will give an overview for directors of 2019 banking issues and industry developments. It will focus on how bank boards are approaching the ongoing consolidation in the banking industry and the critical relationship between employee issues and the preparation for a merger. They will review recent trends in bank executive compensation, 280G tax issues, change in control agreements and related restrictive covenant issues. Bader and Hickey will also highlight the importance of bank executive compensation issues in the merger process as well as the cultural aspect of bringing two banking organizations together. In addition, it will cover the critically important issue of maintaining su cient capital, and the approaches that banks are taking to manage capital planning, and the process of working with investors and capital sources.

Bader, chair of Gunster's banking and financial services practice, focuses his practice on mergers and acquisitions, regulatory compliance, securities offerings, and advising companies and their management as they make critical business decisions. Hickey devotes his practice to representing companies and senior management in executive compensation matters.
