Gunster recently welcomed Stacie Townsend to the West Palm Beach office as an associate on the corporate and technology and entrepreneurial companies practice teams.

She said, in a recent Daily Business Journal article, that the new year brings significant changes to state law governing Florida limited liability companies.

Stacie Townsend is a Gunster attorney who focuses on mergers and acquisitions and other complex business transactions. She graduated top of her class from the University of Iowa College of Law. 

Florida's Revised Limited Liability Act resembles the national model, and aims to make the state more commercially competitive.

  New mandatory provisions, such as the capacity of Florida LLCs to sue and be sued, a person’s ability to disassociate from the LLC, and more.
  Default rules, such as the new requirement of unanimous consent for Florida LLC members to amend the operating agreement or to add a new member, and new circumstances in which a person can bind a Florida LLC.
  Provisions eliminating the idea of a “managing member” for Florida LLCs and new procedures for foreign entities.
