Overview
Steven Shapiro is a transactional attorney with a strong technical tax background. Steven addresses each deal with sensitivity to its personal and relational elements. Steven finds that this approach often best situates his clients for their desired economic outcome.
Steven has substantial experience advising clients as to technical legal and tax considerations with respect to structuring a given transaction. He advises closely held family offices, high-net worth individuals and private equity funds with respect to complex business investments and joint ventures.
Steven prepares and reviews subscription and similar investment agreements, equity and asset purchase agreements, convertible debt financing agreements and other M&A-related transaction agreements. He also advises on corporate governance agreements such as shareholder agreements, partnership agreements, and operating agreements. In addition, Steven has experience negotiating complex endorsement deals.
Steven formerly worked in a specialist group at KPMG LLP in New York City, performing transactional M&A federal income tax due diligence and structuring. He draws on this background in his daily practice.
Steven grew up in South Florida. He lives in Tampa with his wife, son and daughter. Steven takes his hobbies quite seriously; these include enjoying the outdoors, photography and grilling.
