(Professional) in connection with the negotiation of the definitive merger agreements whereby Professional will be acquired by Seacoast Banking Corporation of Florida and its subsidiary, Seacoast National Bank (Seacoast). Seacoast was represented by Alston & Bird LLP. The deal, valued at approximately $488 million, is expected to close in the first quarter of 2023.

Seacoast is one of the largest banks headquartered in Florida, with approximately $10.8 billion in assets. Professional Bank is the sixth largest bank headquartered in South Florida and operates nine branches across Miami-Dade, Broward and Palm Beach counties, with deposits of approximately $2.4 billion.

The Gunster M&A team continues to excel in helping clients achieve their goals in connection with large and complex corporate deals, having recently represented multiple companies in significant M&A and SPAC-related transactions, including representing HotelPlanner in a three-way merger agreement with Reservations.com and Astrea Acquisition Corp., and representing the seller in connection with the sale of the Architec Housewares business to Bradshaw Home.
