Several states have recently issued consumer alerts regarding corporate record scams. We wanted to advise you of this information as quickly as possible.

Deceptive solicitations are being sent to companies advertising low-cost filings of “Annual Meeting Minutes.” The communication also includes a very official-looking form to complete for payment. Do not complete this form. Beware any unsolicited communication from an unknown source or vendor, especially if they ask for account information or payment up front.

Florida and Delaware do not require meeting minutes to be filed. Only annual reports are required to be filed with the state for annual renewals.

Florida companies are also warned of “Business Identity Theft.” Company records are being fraudulently altered to steal business identities. Be suspicious of unsolicited items from unknown sources and periodically check your information on the Florida Division of Corporations website.
